iAdvize

General terms of use

Version 2026-10-21

This document is available in English only.

Preamble

These general terms of use (the "Terms") set out the conditions under which iAdvize makes the AI Shopping Assistant available to the Customer, comprising the dashboard, the assistant made available to Shoppers on the Customer's site or on a page hosted by iAdvize on its behalf, the REST API and the MCP server. They form a contract between iAdvize and the Customer.

The Terms do not govern browsing on the iAdvize website. Merely visiting that website implies no acceptance; the processing of visitors' data is described in the iAdvize privacy policy.

The Terms take effect on the date on which a person acting on behalf of the Customer creates an organization and accepts them. That person accepts in the name and on behalf of the Customer, which is bound from that date. That person must be an administrator of the organization or otherwise have the authority to bind the Customer, and represents and warrants, by accepting, that they have that authority. The Terms apply to the exclusion of any general purchasing terms of the Customer.

Where the Customer and iAdvize have entered into a separate written agreement relating to the Service, including by exchange of emails, the provisions of that agreement prevail over the Terms in the event of conflict, within the limits of its subject matter.

Existing contracts between the Customer and iAdvize are not affected by the Terms and remain fully in force, without amendment. None of their provisions, in particular those relating to service levels, support, liability and data management, applies to the Service. The Terms have no effect on the amounts due under those contracts.

Article 1. Definitions

1.1. The following capitalized terms have the meaning set out below:

  • "iAdvize": iAdvize SAS, whose contact details appear in the legal notice.

  • "Customer": the company that holds the organization, to the exclusion of the individual who signed up.

  • "Party": iAdvize or the Customer, individually; "Parties": iAdvize and the Customer, together.

  • "Service": the assistant, the dashboard, the APIs and the MCP server, taken together.

  • "Users": the Customer's personnel to whom the Customer gives access to the Service.

  • "Shopper": any person who interacts with the assistant on the Customer's site or on a page hosted by iAdvize on its behalf.

  • "Conversation": where this term designates a unit of usage under a separate written agreement, a conversation in which the Shopper has sent at least one message. A conversation opened without any message from the Shopper is not counted.

  • "Customer Data": the items the Customer puts into the Service and those the Service collects on its behalf, namely its configuration, its catalog and other connected content, the conversations held with its Shoppers, and the measurements derived from them and made available to it in the dashboard and the API.

  • "separate written agreement": any agreement concluded in writing between iAdvize and the Customer, including by exchange of emails, relating to the Service.

  • "pilot": the free evaluation phase of the Service governed by Article 8.

  • "DPA": the AISA Data Processing Agreement referred to in Article 7.2.

    1.2. Usage counter. The usage counter is for information only. During the pilot, the conversation counter shown in the dashboard creates no payment obligation; usage-based billing applies only if a separate written agreement provides for it. The counter totals the conversations of the Customer's organization started during the calendar month (UTC) on its public surfaces, excluding Playground test conversations. It is a real-time count, reduced when a conversation is deleted, and it may differ from a count made under the definition in Article 1.1.

Article 2. Customer status and liability for Users

2.1. The Service is intended exclusively for customers acting for professional purposes, that is, in the course of their commercial, industrial, craft or liberal activity, and not as consumers or non-professionals within the meaning of the preliminary article of the French Consumer Code. The person who accepts the Terms must have the authority to bind the Customer.

2.2. The Customer is responsible for its Users: acts performed by them through the Service are deemed to be performed by the Customer. The Customer limits access to the Service to the people who need it and withdraws it as soon as that need ends.

2.3. The Customer is responsible for ensuring that its Users comply with the Terms, and that the catalog, content, instructions, credentials and other data it provides to the Service may lawfully be processed by iAdvize and its service providers.

Article 3. Accounts and API keys

3.1. The Customer decides who holds an account and the rights attached to each. It keeps credentials confidential and informs iAdvize without undue delay of any suspected compromise of an account.

3.2. iAdvize recommends enabling multi-factor authentication on every account that can change the configuration. It is available in each User's account settings for password or social sign-in. Where single sign-on (SSO) is used, the Customer is responsible for enforcing it with its identity provider.

3.3. An API key is a bearer credential: anyone holding the key can act on behalf of the Customer's organization through the API, and iAdvize cannot tell that person apart from the Customer. The Customer keeps its keys with the same care as a password, gives each integration its own key, and revokes any key that is no longer needed or may have been disclosed. Revocation is final and takes effect from the next request. A key may also be given an expiry date, after which it stops working.

Article 4. Right of use and restrictions

4.1. iAdvize grants the Customer, for the term of the Terms, a non-exclusive, non-assignable, non-transferable right to use the Service, without the right to sublicense, solely for the needs of its own business. During the pilot, this right is limited to evaluating the Service and to the volume set under Article 8.3. It does not include any right to resell the Service, to make it available to unauthorized third parties, or to use it for a site or an organization the Customer is not authorized to operate.

4.2. The Customer shall not:

  1. use the Service for unlawful purposes or to process content it is not entitled to process;
  2. reproduce, modify or decompile the Service, or attempt to obtain its source code, except to the extent permitted by law;
  3. circumvent the technical limits applied by iAdvize, including rate limits and quotas;
  4. use the Service to develop a competing product;
  5. configure the assistant so as to mislead a Shopper about the identity or nature of whom or what they are talking to;
  6. remove, hide, make illegible through a change of style or otherwise circumvent the statement informing the Shopper that they are interacting with an AI, or the data-use notice displayed in the assistant. This prohibition applies however the assistant is presented, including within a page or interface designed by the Customer that embeds or calls it directly;
  7. use the Service to process special categories of personal data, such as data revealing a person's health or sex life, or other highly sensitive data, unless authorized by a separate written agreement, in which case the special conditions of Article 7.5 apply.

Article 5. Generated content and allocation of responsibilities

5.1. Nature of the answers. The assistant generates its answers using large language models and may make mistakes. In particular, it may state a price, an availability, a delivery time or a product feature inaccurately, including where the information provided to iAdvize is accurate.

5.2. Control over what is said. The Customer determines the content of the assistant's answers, within the base behavior provided by iAdvize. It configures the instructions, selects the tools made available to it and connects the catalog and the other sources it reads. What the assistant says to a Shopper on the Customer's site is the Customer's own commercial communication.

5.3. Duty to verify. Pre-contractual information owed to consumers is the Customer's responsibility. The Customer remains responsible for verifying and validating the information, configuration and sources it provides or enables for Shoppers. It is for the Customer to review what the assistant is configured to say and to keep the sources it reads accurate and up to date.

5.4. Actions on the store. At a Shopper's request, the assistant may add, change or remove items in the Shopper's cart through a connector enabled by the Customer, and redirect the Shopper to the Customer's cart or checkout. The assistant has no ordering or payment capability of its own and can only call the functions the connector exposes and the Customer leaves enabled. Keeping the ordering and payment tools of that connector disabled is the Customer's responsibility. On a connector the Customer adds itself, every tool exposed by the server is enabled until the Customer disables it. With the supported store connectors, as delivered, the purchase is completed in the Customer's own checkout, under its own terms of sale.

5.5. Informing Shoppers. Every conversation on a surface operated by iAdvize opens with a statement informing the Shopper that they are interacting with an AI assistant, together with a link to the data-use notice for Shoppers. That statement and that notice are displayed on the Customer's behalf as part of the Service. As controller, the Customer remains responsible for informing Shoppers about its own processing, for its legal basis, and for collecting any consent required for cookies or similar technologies placed on its site. The Customer refers to that notice in its own privacy policy.

5.6. Transparency under the AI Act. As provider of the AI system, iAdvize is responsible for the transparency measures that Article 50(1) of Regulation (EU) 2024/1689 places on the provider, including where the assistant is presented under the Customer's brand. Where the Customer deploys or presents the assistant under its own brand or through an interface it controls, it must keep that statement in place and comply with its own obligations as deployer. It shall not remove, hide or alter it in a way that would make it misleading or illegible.

5.7. iAdvize's commitments. iAdvize configures model calls so that providers do not use their content to train their models and, where the provider offers it, retain no content after the call. The providers and their commitments are listed on the sub-processors page. iAdvize gives the Customer the means to test a version of the assistant before publishing it. Some settings, such as starter questions, site information, tone of voice and connector tools, apply to Shoppers as soon as they are saved. iAdvize does not change the instructions, tools or engine the Customer has set on a published version of its assistant. The platform around them evolves with the Service, in accordance with Article 8.2: the shared components of the system and the behavior of the tools may change.

Article 6. Ownership and use of data

6.1. Customer Data. Customer Data remains the property of the Customer. iAdvize acquires no right over the Customer's catalog, content or conversations beyond what operating the Service on its behalf requires.

6.2. Service. The software, the prompts and configuration written by iAdvize, the interfaces, the documentation and everything developed by iAdvize to operate the Service, as well as the derived material referred to in Article 6.3, excluding the Customer Data it contains, remain the property of iAdvize.

6.3. Derived material. Operating the assistant produces derived material, such as refined instructions, indexes, parameters and performance analyses, which forms an integral part of the Service. iAdvize uses it only to improve the Customer's assistant. Derived material that contains Customer Data or personal data, or from which they can be reconstructed, remains subject to Article 7 and is deleted with the Customer Data. iAdvize may keep only aggregated, anonymized statistics that identify neither the Customer, nor its Shoppers, nor its catalog. Results made available to the Customer in the dashboard or the API, such as conversation labels or generated starter questions, are Customer Data for as long as they appear there.

6.4. Exclusive purpose. iAdvize uses Customer Data solely to provide the Service to the Customer, unless the Customer instructs otherwise in writing.

6.5. Feedback. The Customer authorizes iAdvize to use, free of charge, the feedback it gives on the Service to improve its products.

6.6. Retention periods. The Service applies retention periods to the Customer's conversations and to the measurements derived from them, and deletes expired items every day. A conversation is deleted 12 months after its last message; the event measurements derived from it are deleted 24 months after they were recorded; labels are deleted with the conversation they relate to.

Article 7. Personal data

7.1. Allocation of roles. Each Party is bound by the obligations that apply to it under data protection law. The processing for which iAdvize determines the purposes and means is described in its privacy policy. For personal data processed on behalf of the Customer, including everything Shoppers say to the assistant, the Customer is the controller and iAdvize the processor, acting on the Customer's instructions.

7.2. Processing agreement. The AISA Data Processing Agreement (the "DPA"), in its version of 21 October 2026, published at iadvize.ai/legal/dpa, constitutes the contract required by Article 28(3) GDPR and forms an integral part of the Terms, including in the absence of a separate written agreement. It applies from acceptance of the Terms. The provisions of a separate written agreement relating to personal data prevail within the limits of their subject matter.

7.3. Legal basis and consent. The Customer determines the legal basis for the processing and collects the consent required for trackers used on its site, within the meaning of Article 82 of French law no. 78-17 of 6 January 1978 on information technology, data files and civil liberties. The Customer connects its consent management tool to the objection command documented by iAdvize (integration documentation), so that a Shopper's refusal or withdrawal of consent is honored by the assistant. Attaching orders to a session or a conversation is not implemented as of the version date of the Terms. If it is, it will only take place where a consent signal is sent by the Customer's consent management tool, in the manner then documented by iAdvize, and the Customer will be informed under Article 11.

7.4. Sub-processors. By accepting the Terms, the Customer authorizes iAdvize to engage the sub-processors listed on the dedicated page, which sets out how iAdvize informs the Customer of any change and how the Customer may object.

7.5. Special conditions for sensitive data. This Article 7.5 applies where a separate written agreement authorizes the Customer to process, through the Service, data falling under Article 9 GDPR, such as data concerning the sex life or health of its Shoppers.

  • The Customer warrants that it can rely on one of the exceptions in Article 9(2) GDPR and that it informs its Shoppers accordingly.
  • iAdvize accesses the Customer's conversations only at the Customer's written request, through the people named in that agreement only and for the stated need only, except where required by law or for security purposes, in particular the investigation of an incident, to the extent strictly necessary.
  • The conversation labeling categories describe no practice, orientation or health condition.

By way of derogation from the DPA, these special conditions prevail within the limits of their subject matter.

Article 8. Pilot

8.1. Purpose. The Service, which is under development, is provided to the Customer as part of a pilot, free of charge, in return for the Customer's participation defined in Article 8.4. The pilot entails no commitment to order, migrate or pay any price.

8.2. Provided as is. The Service may change, be interrupted, contain defects or be withdrawn at any time. iAdvize makes no commitment as to availability, service level, support or features, and provides the Service without any warranty. This exclusion does not extend to the provisions on AI transparency (Article 5), data protection (Article 7) and confidentiality (Article 12).

8.3. Duration and volume. The pilot lasts one (1) month from acceptance of the Terms. iAdvize may extend it by email to the administrators of the Customer's organization. It may set a maximum volume of conversations for the pilot, notified in the same way. The pilot ends at the end of its term, unless extended or replaced by a separate written agreement, or earlier if either Party ends it under Article 10.

8.4. Customer participation. The Customer gives iAdvize feedback on the Service at least every fifteen (15) days during the pilot. If no relevant feedback is given, iAdvize may end the pilot with immediate effect, by email.

Article 9. Liability

9.1. Cap. Each Party's total liability under the Terms is limited to five thousand euros (€5,000), for all causes combined and for the entire term of the Terms.

9.2. Excluded losses. Neither Party is liable to the other for indirect losses, loss of profit, loss of revenue or damage to reputation.

9.3. Acts of the Customer and third parties. iAdvize is not liable for the acts of Users or Shoppers, for content connected by the Customer, or for third-party services the Customer chooses to connect to the Service.

9.4. Exceptions. The limitations in this Article do not apply in the event of personal injury, gross negligence or wilful misconduct, or where the law prohibits limiting liability.

9.5. Force majeure. Neither Party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code. The Party prevented from performing informs the other without delay.

Article 10. Suspension and termination

10.1. Customer's initiative. The Customer may stop using the Service at any time and request that its organization be closed.

10.2. Suspension. iAdvize may suspend access to the Service, immediately and without notice, where it reasonably considers that maintaining access would cause harm, in particular where an account has been taken over, the Service is under attack or being abused, or a use breaches Article 4. iAdvize informs the Customer and restores access once the cause has been dealt with.

10.3. Termination. Either Party may end the Terms at any time, by email, with five (5) business days' notice, except in the case set out in Article 8.4 (no feedback). Where a separate written agreement provides for a different notice period, that period applies.

10.4. Effects of termination. When the Terms end, the Customer's access to the dashboard ends. For the following three (3) months, the Customer may retrieve its conversations through the REST API using an API key of its organization. At the end of that period, iAdvize deletes the Customer Data within thirty (30) days, in accordance with the processing terms applicable between the Parties and subject to retention periods imposed by law. Deleted data may remain for up to thirty-five (35) additional days in iAdvize's database backups, until they are overwritten.

Article 11. Changes to the Terms

11.1. iAdvize may change the Terms. Each version is identified by the date at the top of the Terms; the version in force is the one published on this page.

11.2. Any change that significantly affects the Customer's rights or obligations is notified to it by email, to the administrators of its organization, at least thirty (30) days before it takes effect. A Customer that objects may end the Terms. Continuing to use the Service after the change takes effect constitutes acceptance. Other changes take effect on publication.

Article 12. Miscellaneous

12.1. Assignment. Neither Party may assign the Terms without the other's consent, except to a successor to the business.

12.2. Severability. If any provision of the Terms is held unenforceable, the other provisions remain in force.

12.3. Survival. Articles 6, 7 and 9, Article 10.4 on the retrieval and deletion of data, and Article 12 survive the end of the Terms.

12.4. No waiver. A Party's failure to enforce a provision immediately does not constitute a waiver of its right to enforce it later.

12.5. Notices. Notices under the Terms are given by email, to the administrators of the organization for the Customer, and to the address in the Contact section for iAdvize.

12.6. Confidentiality. Each Party protects the other's confidential information with reasonable care and uses it only to provide or receive the Service. The Service as provided during the pilot, and the exchanges relating to the pilot, are iAdvize confidential information. Information is not confidential where it is publicly available without breach of the Terms, already lawfully known to the receiving Party, lawfully received from a third party, or independently developed. These obligations apply for the term of the Terms and for five (5) years after they end.

12.7. References. iAdvize does not use the Customer's name, logo or trademarks as a customer reference without the Customer's prior written consent.

12.8. Governing law and jurisdiction. The Terms are governed by French law. Before bringing any legal action, the Party intending to rely on a dispute notifies the other, and the Parties endeavor to settle it amicably within thirty (30) days of that notice, without prejudice to urgent or protective measures. Failing an amicable settlement within that period, any dispute arising out of or in connection with the Terms, including their formation, validity, interpretation, performance or termination, falls within the exclusive jurisdiction of the competent courts of Nantes (France), subject to any mandatory rule of applicable law.

12.9. Language. The Terms are published in French and English. In the event of any discrepancy or conflict between the two versions, the French version prevails.

12.10. Related documents. The Terms refer to the DPA, the privacy policy, the sub-processors page, the legal notice and the data-use notice for Shoppers.

12.11. Electronic contract and evidence. The Terms are concluded electronically. As the Parties are professionals, they agree, in accordance with Article 1127-3 of the French Civil Code, to derogate from points 1° to 5° of Article 1127-1 and from Article 1127-2 of the same code. The records kept by iAdvize in its systems, in particular the account identifier of the person who accepted, the timestamp of the acceptance and the version of the Terms accepted, are binding between the Parties unless proven otherwise, in accordance with Article 1368 of the French Civil Code.

12.12. Hardship. Each Party agrees to bear the risk of a change of circumstances unforeseeable at the conclusion of the Terms and waives the right to rely on Article 1195 of the French Civil Code.

12.13. Independent parties. The Parties act as independent contractors. Subject to the processing carried out by iAdvize on the Customer's behalf under Article 7, nothing in the Terms creates any agency, partnership, joint venture or employment relationship between them.
